Terms & Conditions

1. Scope of Services

The Company will provide software development and maintenance services to the client as described in a separate agreement between the parties. The Company reserves the right to modify or discontinue any of its services at any time, with or without notice to the client.

2. Payment Terms

Payment for the services will be due as outlined in the separate agreement between the parties. The client agrees to pay all fees and charges in a timely manner. If the client fails to make a payment when due, the Company may charge late fees and/or discontinue services until the payment is received.

3. Intellectual Property

The client retains all rights to any data, software, or other intellectual property provided to the Company for the purpose of providing services. The Company retains all rights to any deliverables, including but not limited to software, documentation, and other works created by the Company for the client.

4. Confidentiality

The Company will maintain the confidentiality of the client's confidential information, as outlined in the separate agreement between the parties. The Company will not disclose the client's confidential information to any third party without the client's prior written consent.

5. Warranties and Representations

The Company warrants that the services will be performed in a professional and workmanlike manner. The client represents and warrants that it has the right to enter into this agreement and to use the services provided by the Company.

6. Limitation of Liability

The Company's liability for any and all damages arising from or in connection with this agreement or the services provided hereunder will be limited to the amount of fees paid by the client under this agreement.

7. Termination

Either party may terminate this agreement at any time upon written notice to the other party. Upon termination, the client shall pay the Company for all services rendered through the date of termination.
